Welcome

Welcome to All You Can Learn (“AYCL”), a service of User Interface Engineering Inc. (“UIE”, “we”, “us”). At AYCL, you’ll have access to a vast library of “Virtual Seminars”, video presentations from experts on the topics of user experience design.

By indicating your acceptance of this Terms of Use agreement (the “Agreement”), you agree to be bound by and comply with its terms. Please review the Terms of Use carefully before you accept them, and if you have any questions please don’t hesitate to contact us. If you do not agree to comply with the Terms of Use, you should not accept them, and you should not sign up to use AYCL.

We may update this Agreement from time to time. If you are a registered AYCL user, we will attempt to notify you via email about any material changes or updates. We’ll also post the most recent Agreement to the AYCL section of the UIE website. The most recent version of the Agreement will supersede and replace all previous versions.

Accounts

In order to view a Virtual Seminar, you will be require to create an account with AYCL. As part of the account creation process, we will ask you to provide your name and email address and select a unique username and password. You are responsible for maintaining the security and confidentiality of your account information, and for any activity that takes place in connection with your account. You agree to notify us in writing immediately if you suspect there has been any unauthorized access to or use of your account. If you don’t notify us, we will not be liable for any loss or damage caused unauthorized access to or use of your account.

We reserve the right to restrict or terminate any account, with or without cause or notice, and without liability to you.

Individual Seminars And Subscriptions

Individual Seminars

You may purchase 48-hour access to an individual Virtual Seminar. Pricing for individual Virtual Seminar access is as listed on the AYCL website. You may stream a Virtual Seminar an unlimited number of times during the 48-hour period following your purchase. Virtual Seminars may be viewed on any compatible device, but you understand that the quality of your viewing experience depends on any number of factors, including your viewing device and available bandwidth. We do not make any guarantees regarding the viewing quality of any Virtual Seminar. If you experience technical difficulties viewing a Virtual Seminar, please contact us for assistance. n.

Subscription

The various available subscription levels are listed on the AYCL website. Pricing and availability is subject to change.

When you subscribe to AYCL, you have the option purchase a “Group” subscription that covers multiple account holders. In this event, your account acts as the “Master Account” responsible for administration of the Group and all subscription fees. You may add or remove Group members at any time, and we’ll bill you for the additional subscription fees or provide you with a refund (see Cancellation below). Each Group member will be required to read and agreed to this Agreement in order to create their account and join the Group.

Billing

By making a purchase, you authorize us to bill your desired payment method for the associated fee. Monthly subscriptions will be billed monthly in advance on the fifteenth day of each month, while six-month and twelve-month subscriptions will be billed in full in advance. If you choose to auto-renew you subscription, you will be billed until you cancel your subscription.

Cancellation

We’re so confident in the quality of our Virtual Seminar lineup that we guarantee 100% satisfaction. If at any time you are not satisfied with a Virtual Seminar, let us know and we’ll give you access to another Virtual Seminar. If you prefer to cancel, we will refund the pro-rated amount of your unused subscription. If you hold a Master Account, we’ll refund the pro-rated amount of any (or all) subscriptions you choose to cancel.

License

UIE grants you, as an account holder, a limited, non-exclusive, non-transferable license to access, use and privately display Virtual Seminars as provided in this Agreement. This license will enable you to view Virtual Seminars during the term of your purchase, and expires upon the expiration or cancellation of your single-seminar access period or subscription. We may, in our sole discretion, terminate this license in the event of your breach of any term of this Agreement.

Conditions Of Use

You agree that you shall not use AYCL in any manner that violates any applicable law, regulation, or term of this Agreement. Specifically, you agree that you will not (i) access or attempt to access any account that you are not authorized to access, (ii) modify or attempt to modify AYCL or any content available thereon, (iii) copy, distribute, or create derivative works based on the AYCL website, Virtual Seminars, or any related content, (iv) exploit AYCL in any unauthorized way whatsoever, including but not limited to, by trespass or burdening network capacity, or (v) sublicense, sell, resell, or otherwise convey the AYCL website, Virtual Seminars, or any elements thereof. We reserve the right to remove or disable access to any Virtual Seminars at any time.

Trademarks

USER INTERFACE ENGINEERING, UIE, ALL YOU CAN LEARN, AYCL, and the UIE logo are trademarks or registered trademarks of User Interface Engineering Inc.

Copyright

The AYCL website and service and all elements thereof are owned by User Interface Engineering Inc. and may be protected by copyright, trade secret, and other laws in the United States and internationally. The Virtual Seminars and all rights in and to them are the property of their respective owners. You may not use Virtual Seminars or any other content available on AYCL except as expressly provided herein. You may not download, copy, or distribute any AYCL content, including Virtual Seminars. Any unauthorized use of any Virtual Seminars or other UIE or AYCL content may violate copyright and trademark laws, the laws of privacy and publicity, and communications regulations and statutes.

Copyright Policy

It is the policy of UIE to respect the intellectual property rights of others. UIE does not condone the unauthorized reproduction or distribution of copyrighted content. If you believe your work has been reproduced or distributed in a way that constitutes copyright infringement or are aware of any infringing material available through AYCL, please notify us as instructed at AYCL Copyright.

Links To Third Party Sites

AYCL may contain links to third party websites, such as those of the Virtual Seminar presenters and/or their employers. These sites may have their own terms of service and privacy policies which do not apply to UIE. We are not responsible for, and do not endorse or accept any responsibility for, the contents of or your use of third party websites.

Personal Information And Privacy

Disclaimer; Limitation Of Liability


Your use of AYCL is solely at your own risk. AYCL and all information and virtual seminars and other content available thereon are provided “as is” without any warranty of any kind. To the extent allowable by law, UIE and its licensors disclaim all warranties, express or implied, with respect to AYCL and all content associated therewith, including (but not limited to) any warranties against infringement of third party rights, merchantability and/or fitness for a particular purpose.

To the extent allowable by law, in no event shall UIE be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of anyone else (including you) in connection with the use of AYCL. Without affecting the limitations of liability in this section, the maximum liability of UIE and/or its parents, subsidiaries, officers, directors, employees, agents and licensors, to you or any third parties, is limited in all circumstances to the total amount paid by you to us for the AYCL service for the six months prior to the claim of liability.

Without limiting the foregoing, UIE and its licensors assume no liability or responsibility for any of the following: (i) errors or omissions in the content delivered via AYCL, (ii) any failure or interruption in the availability of AYCL and/or the AYCL website or user interfaces, and (iii) any losses or damages arising from the use of the content provided via AYCL. In addition, we do not represent or warrant that any Virtual Seminar or related content is accurate, complete or current. We do not make any representations with respect to the content contained in any Virtual Seminar. We do not represent or guarantee that your use of AYCL will be free from interruption, loss, corruption, attack, viruses, interference, hacking, or other security intrusion and we disclaim any liability with respect thereto.

Indemnification

You agree to indemnify, defend, and hold harmless UIE and its officers, directors, agents, employees, and licensors from any claim or demand, including attorneys’ fees and costs, made by any third party due to or arising out of (i) any unauthorized access to or use of your account, or any information contained therein, and (ii) your violation of any of this Agreement, any applicable law, or any rights of any third party.

General Conditions


Our failure to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. This Agreement constitutes the entire agreement between you and us, and governs your use of AYCL, superseding any prior agreements. This Agreement will be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts without regard to the conflict of laws principles thereof. You expressly agree to submit to the exclusive personal jurisdiction of the state and federal courts of Commonwealth of Massachusetts. If any part of this Agreement is held invalid or unenforceable, that portion will be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions will remain in full force and effect.
